General Terms

1. Definitions and Scope

1.1 The following definitions apply throughout these Terms and Conditions:

  • Offer: The products offered by the intermediary.

  • Intermediary: Waoro.

  • Order: The product purchased by the buyer for which a contract is concluded.

  • Withdrawal Period: The time period in which the consumer may exercise their right of withdrawal.

  • Consumer: Any natural person acting for purposes outside their trade, business, or profession, who enters into a distance contract through the intermediary.

  • Dropshipping: The buyer places an order through the website. The intermediary forwards the order to the supplier. The contract is formed between the buyer and the supplier. Payment is made via the intermediary, and the supplier ships the goods directly to the buyer.

  • Form: The sample withdrawal form provided by the supplier for exercising the right of withdrawal.

  • Right of Withdrawal: The consumer’s right to cancel the contract within the withdrawal period.

  • Buyer: The person with whom a contract is concluded on behalf of the supplier.

  • Supplier: The party providing the product.

  • Contract: A distance sales contract concluded via the intermediary for the purchase of products.

  • In Writing: Any form of electronic communication stored on a durable medium.

  • T&Cs: These Terms and Conditions of Waoro.

1.2 These T&Cs apply to all offers, orders, and contracts made through the intermediary, including any subsequent, supplementary, or amended agreements.
1.3 Any conflicting terms and conditions of the buyer are expressly excluded.
1.4 Articles 11.5, 11.6, 12, 13, and 14 apply exclusively to consumers.
1.5 If any clause in these T&Cs is found invalid or unenforceable, the remaining clauses shall remain in full effect. The invalid provision will be replaced with one that most closely reflects the original intent.

2. Dropshipping

2.1 The supplier’s contact details are provided on the website.
2.2 If the supplier is located outside the EU, the buyer may be responsible for additional charges such as customs duties, import taxes, or handling fees.
2.3 All prices are exclusive of applicable taxes and shipping fees unless stated otherwise.
2.4 Payments are processed via the intermediary, who transfers the amount to the supplier on behalf of the buyer.
2.5 The difference between the buyer’s payment and the amount transferred to the supplier constitutes the intermediary’s service fee.

3. Offers

3.1 All offers are valid while supplies last or as long as the product is available.
3.2 Any special terms or conditions will be clearly indicated in the offer.
3.3 All offers are non-binding. The intermediary reserves the right to modify or withdraw offers at any time.
3.4 Product images and descriptions are for illustration purposes only; minor variations do not constitute a defect.
3.5 The intermediary is not bound by any obvious typographical or pricing errors.

4. Contract Formation

4.1 A contract is established when the buyer accepts the offer and places an order.
4.2 Once the order has been electronically accepted, the intermediary will confirm receipt. The contract becomes effective upon this confirmation.
4.3 The intermediary implements technical and organizational measures to ensure the secure transmission of data.
4.4 The intermediary reserves the right to verify the buyer’s creditworthiness before accepting an order.
4.5 The buyer must provide accurate and complete information.
4.6 The intermediary is not liable for damages resulting from incomplete or incorrect information provided by the buyer.

5. Prices

5.1 All prices are based on the cost factors in effect at the time the contract is concluded.
5.2 The intermediary is not bound by any obvious pricing mistakes.
5.3 Combined offers do not oblige the intermediary to deliver partial quantities at proportional prices.

6. Warranty and Liability

6.1 Delivered products must conform to the agreed specifications.
6.2 Products with limited shelf life will be clearly marked as such.
6.3 Any defects must be reported in writing within four weeks of receipt.
6.4 The warranty period corresponds to that of the manufacturer.
6.5 In case of a valid claim, the intermediary may, at its discretion, replace the product or repair the defect.
6.6 The warranty does not apply in cases of improper use, normal wear and tear, or unauthorized modifications.

7. Delivery and Fulfilment

7.1 The intermediary processes orders with the utmost care.
7.2 Delivery is made to the address provided by the buyer.
7.3 Stated delivery times are estimates and not binding.
7.4 If a product is unavailable, the buyer will be informed within 30 days.
7.5 Partial deliveries are permitted.
7.6 The risk of loss or damage passes to the buyer upon delivery.
7.7 For shipments from outside the EU, customs fees or delays may apply; the buyer is responsible for these.

8. Payment

8.1 Unless otherwise agreed, payment is due immediately upon placing the order.
8.2 The buyer must promptly report any payment errors.
8.3 In the event of late payment, statutory interest and collection costs may apply.

9. Force Majeure

9.1 The intermediary is not liable for delays or failure to perform due to circumstances beyond its control, including but not limited to power or network outages, natural disasters, war, strikes, government actions, or other unforeseen events.
9.2 During such events, the obligations of both parties are suspended.

10. Data Protection

10.1 Personal data is collected solely for the purpose of fulfilling the contract.
10.2 The buyer agrees to the use of electronic communication.
10.3 The intermediary applies appropriate security measures to protect personal data.
10.4 Data may be transferred to partners outside the EU if necessary for order fulfilment.
10.5 Consumers may request access to, correction of, or deletion of their personal data at any time in accordance with the privacy policy.

11. Consumer Information

11.1 All prices for consumers include VAT and shipping costs.
11.2 These Terms and Conditions are available on the website in a permanent, downloadable format.
11.3 Information about warranty, customer service, and the right of withdrawal can also be found on the website.

12. Right of Withdrawal

12.1 Consumers have the right to withdraw from the contract within 14 days without providing any reason.
12.2 Returned products must be unused, in their original condition, and in the original packaging.
12.3 The withdrawal can be made using the provided form or via email.
12.4 Items excluded from the right of withdrawal include personalized goods, sealed hygiene products, and perishable items.

13. Costs in Case of Withdrawal

13.1 The consumer is responsible for the cost of returning goods.
13.2 Refunds will be issued within 14 days after receipt of the returned goods.
13.3 Any damage resulting from improper handling may be deducted from the refund amount.

14. Complaints and Disputes

14.1 Complaints must be submitted in writing to the intermediary at: info@waoro.com
14.2 All complaints will be handled within 14 days.
14.3 If no satisfactory solution is reached, consumers may use the EU Online Dispute Resolution platform (ODR).
14.4 Dutch law applies to all contracts.
14.5 The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
